ESQ Jobs is seeking an experienced Securities Attorney to join their team in New Jersey, United States. The role involves advising on public company matters, particularly IPOs and ongoing reporting obligations, in a fully remote work environment.
About the Role
As a Securities Attorney, you will manage initial public offerings (IPOs), provide counsel on public company reporting and compliance, draft and review SEC filings, support capital markets transactions, and advise on FINRA regulatory matters. You will serve as a key point of contact for clients and collaborate with various stakeholders to ensure compliance and successful transaction execution.
About You
Required:
Juris Doctor (JD) from an accredited law school.
Admission to at least one U.S. state bar (in good standing).
Significant experience with IPOs, including hands-on work with Form S-1 registration statements.
Strong working knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
Demonstrated experience with SEC filings, including Forms 8-K, 10-K, and 10-Q.
Preferred:
Experience representing underwriters in securities offerings.
Strong familiarity with FINRA regulations, particularly FINRA Rule 5110.
Prior experience in a law firm capital markets group, investment bank legal department, or in-house securities role.
